IPMFlow Desktop – General Terms and Conditions (GTC)

Service Provider: Trapshop Kft.

1. Introductory Provisions

  1. These General Terms and Conditions (GTC) regulate the sales legal relationship between Trapshop Kft. (hereinafter: Service Provider) and the Buyer.
  2. The language of the contract is Hungarian. The contract qualifies as a contract concluded by electronic means; it is not filed in writing, cannot be retrieved subsequently, and does not refer to any code of conduct.
  3. Exclusively B2B: The Service Provider concludes contracts exclusively with persons (enterprises) acting within the scope of their trade, independent profession, or business activity. The product is not available to consumers.

2. Order Process and Formation of Contract

  1. The order is placed electronically via the website or through direct contact.
  2. By submitting the order, the Buyer makes a binding offer to purchase the license.
  3. The contract is formed when the Service Provider confirms the order electronically (via e-mail) or sends the license key/download link (by implied conduct).
  4. The Service Provider reserves the right to reject the order without providing justification, particularly in the event of suspicious activity or incomplete company data.

3. Pricing and Payment Terms

  1. The prices indicated are net prices unless otherwise specified on the website; the fee is subject to the applicable VAT.
  2. Payment methods:
    • Bank card (Barion): Payment is secure and is processed via a unique Barion link included in the proforma invoice issued by Billingo; the Service Provider does not store bank card data and does not apply automated webshop deductions (e.g., Stripe).
    • Bank transfer: Also based on a proforma invoice sent by the Service Provider, to be fulfilled by the specified deadline.
  3. Invoicing: The Buyer accepts the issuance of an electronic invoice (e-invoice) and its delivery via e-mail.
  4. In the event of late payment, the Service Provider is entitled to charge default interest in accordance with the Hungarian Civil Code (Ptk.) and to withhold the issuance of the license until full performance.

4. Fulfillment and Delivery of License

  1. The place of performance is the internet.
  2. The time of performance is the moment when the Service Provider makes the license key or the data necessary for downloading/activating the software accessible to the Buyer (particularly by sending an e-mail).
  3. It is the Buyer’s responsibility to ensure that the provided e-mail address is capable of receiving messages (especially regarding SPAM filters and inbox settings).

5. License Rights (in accordance with the EULA)

  1. The detailed terms of use for the purchased software are contained in the End User License Agreement (EULA).
  2. By accepting these GTC, the Buyer declares that they have read the contents of the EULA and acknowledge it as binding upon themselves.
  3. Key provision: The license applies to the Buyer as a legal entity and may be used for the Buyer’s own business purposes on their own devices. The license may not be transferred to a third party without the written consent of the Service Provider.
  4. If the Buyer uses optional AI features or the optional shared Knowledge Base or reference-library functions, the detailed use conditions for those features are governed by the EULA and the related AI/BYOK annex.

6. Warranty for Material Defects (B2B)

  1. The Service Provider undertakes a warranty for material defects (kellékszavatosság) for the operation of the software in accordance with the Hungarian Civil Code.
  2. In the case of a contract between enterprises, the limitation period for enforcing warranty claims is 1 year.
  3. The Buyer is obliged to report the defect without delay after its discovery.
  4. An operational characteristic of the software arising from the nature of the technology, particularly the uncertainty of AI models or the downtime of external APIs, shall not qualify as defective performance.

7. Exclusion of the Right of Withdrawal

  1. Since the subject of the contract is not a consumer, the Buyer is not entitled to the 14-day right of withdrawal without cause under Government Decree No. 45/2014 (II. 26.).
  2. After the dispatch of the license key, a refund of the fee is only possible in the event of a severe, unfixable technical error acknowledged by the Service Provider, without prejudice to mandatory statutory provisions.

8. Miscellaneous Provisions

  1. Data Protection: The processing of personal data provided during the order (e.g., contact person’s name, e-mail address) is governed by the Privacy Policy.
  2. Complaint Handling: Complaints are received at [email protected] and will be investigated within a maximum of 30 days.
  3. Governing Law and Jurisdiction: This contract shall be governed by Hungarian law. In the event of a legal dispute, the parties stipulate the exclusive jurisdiction of the District Court of Zalaegerszeg (Zalaegerszegi Járásbíróság) or, depending on competence, the General Court of Zalaegerszeg (Zalaegerszegi Törvényszék).
  4. AI and BYOK Conditions: The use of the application’s built-in artificial intelligence features and the configuration of the OpenRouter API key (Bring Your Own Key model) are governed by the provisions of “Annex 1 – Special Conditions for AI/BYOK and OpenRouter,” which forms an inseparable part of these GTC.
