IPMFlow Desktop – End User License Agreement (EULA)

1. Provider Details

2. Subject of the Agreement

  1. This EULA establishes the terms of use for the IPMFlow Desktop software.
  2. The Buyer is granted a non-exclusive, non-transferable, revocable license to use the software according to these terms.

3. Licensing Model

  1. The license is for business (B2B) use.
  2. The license is perpetual and valid for the purchased major release.
  3. The license applies to the Buyer as a specific legal entity (as identified in the contract or invoice).
  4. The license applies to devices owned by the Buyer or used by the Buyer’s employees, exclusively for the Buyer’s internal business purposes.
  5. The license does not extend to affiliated companies, subsidiaries, parent companies, or other third-party legal entities without a separate agreement.
  6. The use of versions beyond the current major release may be subject to separate authorization.

4. Prohibited Use

  1. Reverse engineering, modifying, or unauthorized distribution of the software’s source code is prohibited.
  2. Renting, reselling, or unauthorized sub-licensing of the software is prohibited.
  3. Falsifying or manipulating the license file constitutes a breach of contract.

5. Intellectual Property

  1. All copyright and industrial property rights related to the software belong to Trapshop Kft.
  2. The Buyer acquires only the right of use under this agreement, not ownership.

6. Limitation of Liability

  1. The software is provided on an “as-is” basis.
  2. The Provider’s liability is limited to the fullest extent permitted by law.
  3. The Provider shall not be liable for any indirect, consequential damages, lost profits, or business interruption losses.
  4. The Provider’s aggregate liability shall not exceed the amount actually paid for the specific license.
  5. This limitation of liability does not apply to liability for breach of contract caused intentionally or resulting in harm to human life, physical integrity, or health, to the extent liability cannot be excluded by mandatory law.

7. Updates and Support

  1. The provision of updates is not mandatory, unless otherwise agreed in writing.
  2. Support is provided on a best-effort basis without a guaranteed SLA, unless a separate contract provides otherwise.
  3. The Provider endeavors to fix critical bugs that hinder the software’s operation during the product’s lifecycle, but is not obligated to provide functional expansions.
  4. The Buyer may exercise warranty rights according to mandatory statutory provisions.

8. Termination

  1. In the event of a severe breach of contract, the right of use may be terminated with immediate effect.
  2. Upon termination, the Buyer must immediately cease using the software.

9. Governing Law and Jurisdiction

  1. This agreement is governed by the laws of Hungary, excluding the conflict-of-law rules of private international law.
  2. In the event of a legal dispute, the parties submit to the exclusive jurisdiction of the Zalaegerszeg District Court, or depending on competence, the Zalaegerszeg Regional Court.

10. B2B Declaration

  1. The product is intended exclusively for businesses.
  2. The Buyer declares that they are acting in the course of their economic activity and not as a consumer.

11. Right to Audit

  1. The Provider reserves the right to verify the use of the software at reasonable intervals, with prior notice, to ensure compliance with the license terms.
  2. During the audit, the Buyer shall provide necessary and reasonable cooperation.

12. Knowledge Base and Reference Materials

  1. The software may include an optional shared reference library feature (“Knowledge Base”) for materials selected and maintained by the Buyer’s authorized users.
  2. The Buyer is solely responsible for ensuring that any material uploaded, pasted, stored, shared internally, or selected from the Knowledge Base may be lawfully used for those purposes.
  3. The Buyer warrants that it has all necessary rights, permissions, and internal authorizations to:
    • store such materials locally in the software environment,
    • make active materials available to other authorized users of the same licensed organization within the same deployment,
    • and, where the Buyer chooses to use AI-assisted analysis, transmit the selected materials to the chosen third-party AI service as analysis context.
  4. The Buyer shall not upload or use materials in the Knowledge Base if doing so would infringe copyright, confidentiality, trade secret, data protection, employment, contractual, or sector-specific obligations.
  5. A Knowledge Base item marked as active may become available to other authorized users within the Buyer’s local deployment.
  6. If a Knowledge Base item is selected for an analysis, the software may retain a historical copy linked to that analysis so that past records, audits, and reports remain reproducible and understandable even if the live item is later edited, deactivated, or deleted.

13. Data Processing and Technical Data Traffic Reference

  1. The current version operates primarily locally (offline), license validation is done offline based on a cryptographic signature, and does not require central license server activation.
  2. When using AI or BYOK features, data initiated by the Buyer – including any user-selected Knowledge Base reference material chosen for an analysis – may be transmitted to the OpenRouter service or another third-party AI service selected by the Buyer.
  3. Upon software startup, the software may automatically check for the latest available version on the Provider’s server, with temporary logging of technical identifiers such as IP address; however, this does not involve central license activation or the routine transmission of the Buyer’s business records.

14. Fulfillment, Withdrawal, and Refund (B2B)

  1. The parties agree that the fulfillment of the service is considered commenced and completed with the provision of the license file and enabling the use of the software.
  2. Due to the B2B nature of the product, the 14-day right of withdrawal granted to consumers is not applicable.
  3. Refunds can only be issued in cases mandatory by law or in the event of a proven, unfixable critical error that precludes intended use.
