IPMFlow Desktop – General Terms and Conditions (GTC)

Version: 2026-10-05-en-v3
Effective date: 2026-10-05
Service Provider: Trapshop Kft.

1. Introductory Provisions

  1. These General Terms and Conditions (GTC) govern the IPMFlow Desktop sales relationship between Trapshop Kft. (Provider) and the Buyer.
  2. The contract language is Hungarian. The English text is an informational translation; the Hungarian text prevails in case of differences. Contracts are concluded electronically. The Provider retains the order, confirmation and version of the accepted terms; the Buyer may save the documents sent to them. The Provider does not refer to a code of conduct.
  3. B2B only: the Provider contracts only with Buyers whose business status and tax identification are verified and who purchase for their own trade, independent profession or business activity. A Buyer may be a legal entity or a natural person acting as a sole proprietor. Consumer purchases are not accepted; a tax number alone does not replace verification of the business purpose.

2. Order Process and Formation of Contract

  1. Desktop orders from Hungary or linked to a Hungarian-language quotation must be submitted exclusively through the B2B form on the Hungarian Desktop landing page. International orders may also be submitted through the B2B form on the English Desktop landing page. Telephone and e-mail may be used to request information or pricing documents, but do not replace the order form.
  2. By submitting the form, the Buyer offers to purchase the license. The Buyer must provide their actual billing name, address and tax number and expressly accept the GTC, EULA and B2B declaration. The Provider may request additional evidence, particularly the registration number of a sole proprietor. Before submission, the terms are available to read and save; acknowledging the Privacy Notice does not replace acceptance of contractual terms.
  3. The contract is formed only after verification of business status and purpose, by the Provider’s express order-acceptance confirmation sent by e-mail. An automated receipt notification, quotation, proforma invoice or payment alone does not constitute order acceptance. The Provider sends a proforma invoice only after verification and acceptance; license delivery takes place only under a concluded contract.
  4. Orders are not accepted where business details are incomplete or unverified, the purchase serves a consumer purpose, or the business activity has not yet commenced or is suspended. The actual Buyer and license holder must be the same; details of a relative or another business cannot substitute for the recipient’s own purchase.
  5. A person planning to start a business may receive a separately identified pricing document for grant cost planning. Such a document expressly excludes a binding offer, is not a preliminary contract and creates no obligation to contract or pay. Price validity means maintaining the stated prices for the specified scope and location; paragraphs 1-4 apply to any subsequent order. Grant acceptance and cost eligibility are determined by the grant administrator.
  6. Before contracting, the Provider separately informs the Buyer about terms materially deviating from statutory rules or usual contractual practice and, where required, obtains separate express acceptance. An invoice note does not replace prior access to and acceptance of the terms.

3. Pricing and Payment Terms

  1. The prices indicated are net prices unless otherwise specified on the website; the fee is subject to the applicable VAT.
  2. Payment methods:
    • Bank card (Barion): Payment is secure and is processed via a unique Barion link included in the proforma invoice issued by Billingo; the Service Provider does not store bank card data and does not apply automated webshop deductions (e.g., Stripe).
    • Bank transfer: Also based on a proforma invoice sent by the Service Provider, to be fulfilled by the specified deadline.
  3. Invoicing: The Buyer accepts the issuance of an electronic invoice (e-invoice) and its delivery via e-mail.
  4. In the event of late payment, the Service Provider is entitled to charge default interest in accordance with the Hungarian Civil Code (Ptk.) and to withhold the issuance of the license until full performance.

4. Fulfillment and Delivery of License

  1. The Desktop license is delivered electronically: an .ipmlic license file and software download instructions by e-mail.
  2. Unless otherwise expressly agreed in writing, delivery under a concluded contract takes place within 24 hours after the license fee is credited. License performance consists of making the license file and download information required to exercise the right of use available; this does not constitute performance of a separately ordered on-site service.
  3. The Buyer is responsible for ensuring that the supplied e-mail address can receive messages and must notify the Provider without delay of delivery problems.
  4. DDD-APP and the Map Editor may be provided as a free bonus only on express request and acceptance of their separate terms. They are not a centrally hosted IPMFlow cloud service and run in the Buyer’s own Google environment. Google/AppSheet/Workspace entitlements and charges and AI token credits are not included in the Desktop license fee.
  5. The scope, location, fee, technical prerequisites, timing and acceptance record for separately ordered on-site installation, configuration, training and travel are set out in a separate written service agreement. Electronic delivery of the Desktop license does not certify performance of those services.

5. License Rights (in accordance with the EULA)

  1. Detailed usage conditions are contained in the EULA. The Buyer reads and expressly accepts the GTC and EULA before contracting.
  2. The license holder is the business identified by name and tax number in the contract and invoice, including a natural person acting as a sole proprietor. Use is limited to that Buyer’s own business activity under the EULA; the license does not cover another business or another person’s own activity.
  3. The one-time fee grants perpetual use of the purchased major version. Patch/minor updates released for that major version may be used without an additional license fee. This does not create an unlimited development, new-feature release or support obligation; a new major version is not included. Details are governed by the EULA and Support and Update Policy.
  4. Optional AI/BYOK and Knowledge Base features are governed by the EULA and the AI/BYOK annex. DDD-APP and the Map Editor are subject to their own separate terms.

6. Warranty for Material Defects (B2B)

  1. The Service Provider undertakes a warranty for material defects (kellékszavatosság) for the operation of the software in accordance with the Hungarian Civil Code.
  2. In the case of a contract between enterprises, the limitation period for enforcing warranty claims is 1 year.
  3. The Buyer is obliged to report the defect without delay after its discovery.
  4. An operational characteristic of the software arising from the nature of the technology, particularly the uncertainty of AI models or the downtime of external APIs, shall not qualify as defective performance.

7. Exclusion of the Right of Withdrawal

  1. The consumer’s 14-day withdrawal right without cause under Government Decree No. 45/2014 (II. 26.) does not apply to a B2B Buyer acting for their own trade or business. This is not a waiver of consumer rights: the Provider does not accept consumer orders.
  2. The Provider does not offer change-of-mind refunds. This does not limit rights arising under law or the contract in connection with defective performance, breach or termination. Exercising such rights cannot depend solely on the Provider acknowledging a defect.

8. Miscellaneous Provisions

  1. Data Protection: The processing of personal data provided during the order (e.g., contact person’s name, e-mail address) is governed by the Privacy Policy.
  2. Complaint Handling: Complaints are received at [email protected] and will be investigated within a maximum of 30 days.
  3. Governing Law and Jurisdiction: This contract shall be governed by Hungarian law. In the event of a legal dispute, the parties stipulate the exclusive jurisdiction of the District Court of Zalaegerszeg (Zalaegerszegi Járásbíróság) or, depending on competence, the General Court of Zalaegerszeg (Zalaegerszegi Törvényszék).
  4. AI and BYOK Conditions: The use of the application’s built-in artificial intelligence features and the configuration of the OpenRouter API key (Bring Your Own Key model) are governed by the provisions of “Annex 1 – Special Conditions for AI/BYOK and OpenRouter,” which forms an inseparable part of these GTC.
  5. Scope and earlier contracts: This version applies to new contracts from its stated effective date. Publication or display in the application alone does not amend an earlier contract; amendment requires a valid agreement of the parties.
